Terms of Use

These terms govern access to and use of BANA FACES, the private catalogue of AI-generated digital models operated by Bana Studio Ossas, S.L. ("BANA", "we"). They do not replace your commercial contract with us: where the two differ, your contract wins.

1. What BANA FACES is

BANA FACES is a private catalogue of digital models created by BANA and licensed to fashion brands. It is not a self-service tool. There is no public sign-up, no free tier and no generation on demand: we build the models, and access is granted to organisations we have a contract with.

2. Access

Credentials are issued by us to named people at your organisation. They are personal. You agree not to share them with anyone outside your organisation, and to tell us at faces@bana.studio when someone with access leaves, so we can withdraw it.

You must be 18 or over and have authority to accept these terms on behalf of the organisation you represent.

We may suspend access if credentials are shared, if the catalogue is used outside these terms or your contract, or if we have reason to believe an account has been compromised.

3. The models

Every model in the catalogue is generated from written descriptions. We do not scrape photographs, we do not train on images of real people and no model is a portrait of, or is intended to resemble, any identifiable person. Any resemblance to a real person is coincidental and unintended. If you believe a model resembles someone in a way that affects them, write to us and we will look at it.

The models, and the images and video of them in the catalogue, are our intellectual property. Access to the catalogue does not transfer ownership of anything.

4. What you may do with them

What you may use, where, for how long and in what media is set by your contract. In the absence of a written agreement covering a particular use, that use is not licensed.

Unless your contract says otherwise, you agree not to:

• download, copy or store catalogue material outside the platform beyond what is needed to evaluate it internally;
• pass material to third parties, including agencies and marketplaces, without telling us;
• use a model to imply that a real person endorses your brand;
• modify a model's face or body to make it resemble an identifiable person;
• use catalogue material to train or fine-tune any machine learning model.

5. Exclusivity

Some models are created for a single brand and are exclusive by contract. An exclusive model is not visible to any other client of the platform. Where a model is shared rather than exclusive, we do not guarantee that other clients are not licensing the same face.

6. Disclosure that content is AI-generated

Every model is identified as AI-generated wherever it appears in the platform, and the underlying files carry that marking. European law — Regulation (EU) 2024/1689, the AI Act — requires that content of this kind be disclosed as artificially generated when it is published.

Once you publish, that obligation is yours. We mark what we hand over; we cannot mark what you put on your own site, in your own campaigns or on a marketplace. You agree to keep the disclosure in place and not to present a model as a photograph of a real person.

7. Your own material

If you send us garments, references, briefs or brand material so we can build or dress a model, you keep ownership of it and you grant us permission to use it for the purpose of doing that work. You confirm you have the rights to what you send us.

8. What we don't promise

We aim to keep the platform available and to answer quickly, but we don't guarantee uninterrupted service. We may change, add or withdraw models from the catalogue; withdrawal does not affect material already licensed to you under your contract.

Nothing here limits our liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be limited under Spanish law. Beyond that, our liability in connection with the platform is limited to the amounts paid by you under your contract in the twelve months before the claim.

9. Changes

We may update these terms. When we do, we raise the version number at the top and ask people with access to accept the new version before continuing to use the catalogue. We will not apply a material change retroactively to licences already granted.

10. Law and jurisdiction

These terms are governed by Spanish law. Disputes go to the courts of Barcelona, unless consumer protection rules give you the right to bring them somewhere else.
